● This is designed to be a results-oriented partnership. You should be prepared to commit to at least 90-days with our SWAS program (we have clients with us for many years). That being said, this agreement duration is listed above in the 'Investment' section and is set to renew month-to-month on an auto-renewing basis until canceled. Mogul Clients Billing will continue through the current billing cycle. If you decide that Mogul Clients services are not for you at any time during this agreement then send an email to Jnalls@mogulclients.com with details of your request to cancel. All we require is that you give us 30-days advance notice before the next payment goes through. Meaning if your billing date is on the 1st of the month then it has to be 30-days prior to your next billing date otherwise you will be charged again. In addition, you must schedule and take an exit interview with one of our team members over the phone to help us create a better experience for future partners.

● You hereby ratify your understanding that all program sales are non-refundable and waive any rights to charge-back your purchase with your credit card processor. I understand that Mogul Clients immediately begins work on my account. Therefore no refunds will be issued.

● We reserve the right to cancel service by email notice at any point during our relationship by providing client with written notice

● Client is responsible to comply with all federal, state, and municipal laws, regulations, and/or ordinances that may apply.‌

● Client is responsible to pay all carrier fees including but not limited to SMS, Picture and Voice calls ($0.0075 - $0.020). Typical usage for individual business location location is in the $25-$50 per month depending on message and call volume on the carrier.

MARKETING:

We may include your name and logo on our website as clients unless you request us not to. Any such requests will be honored. We may link to publicly distributed or published work from our website, portfolio, social media accounts or other areas, unless you request us not to.   

MUTUAL NON-DISPARAGEMENT:

Client agrees not to disparage Mogul Clients / “Company,” it’s members, products, employees and agents in any manner. For the avoidance of doubt, disparagement shall mean disparaging or otherwise making any false or negative statements or reviews about the products, services, members, managers, or employees of any Party.  Client acknowledges that a breach of this will result in irreparable harm which cannot be fully compensated by monetary damages. 

Accordingly, in addition to any other remedy, which may be available to it/them, Mogul Clients / “Company”, shall be entitled to injunctive relief to address any actual or threatened violation of this paragraph.‌‌

INDEMNIFICATION:

You agree to indemnify and hold us (as individuals and our business) harmless to the fullest extent possible under the law from and against any and all loss, claim, damage, liability, cost or expense whatsoever, including but not limited to any legal fees and expenses, that may arise as a result of our work for you. In no event will we be liable for any direct, indirect, punitive, incidental, special or consequential damages arising out of or connected with the use or misuse of our work product.

LIMITATION OF LIABILITY:

To the fullest extent permitted by law, our total liability to you and anyone claiming by or through you, for any and all claims, losses, costs or damages, including attorneys’ fees, from any cause or causes will not exceed the total compensation received by us from you.

ACCEPTANCE:

The client named below verifies that the terms of this  Service Level Agreement are acceptable. The parties hereto are each acting with proper authority by their respective companies.
